In this practical webinar, you will learn about issues and techniques central to advising clients on mergers and acquisition. You will learn about tax issues that drive transaction structure, alternative approaches to negotiating transaction structures, and drafting and negotiating techniques. Upon course completion, you will be able to:
  • Identify tax and other factors involved in mergers and asset purchase transactions
  • Draft asset purchase agreements and merger agreements
  • Approach due diligence from both a buyer and a seller perspective
  • Identify issues where subject specialist consultations may be required, such as:
    • Intellectual property
    • Environmental
    • Tax
    • ERISA
  • Craft indemnification provisions for specific and unique categories of risk
  • Develop rapport with opposing counsel to increase the potential for smooth and issue-free closings

Jonathan Wilson is an experienced business lawyer, with more than 25 years of experience as an in-house lawyer, business adviser, and strategist to help business executives and owners achieve negotiated solutions to technology and financial transactions. Julian Fortuna focuses his practice on domestic and international tax planning and tax controversy matters. His industry experience spans clean energy, entertainment, health care, higher education, hospitality, manufacturing, non-profit, real estate, and retail. Mr. Fortuna represents business entities, owners and executives, fiduciaries and beneficiaries of trusts and estates, and non-profit entities regarding all types of federal and state income, estate, and gift taxes. In tax controversies, Mr. Fortuna represents taxpayers in civil and criminal tax audits, investigations, and administrative appeals before the Internal Revenue Service (IRS) and various state, local and foreign taxing authorities and in tax litigation before federal and state courts and tax tribunals.
